Description
Entity selection can be a critical decision for businesses. In this class we’ll contrast the basic business entities – Sole Proprietorships, General Partnerships, LLCs, C Corporations, and S Corporations – by looking at filing requirements, liability and taxes for each. We’ll examine the advantages and disadvantages of each entity and identify favorable entity choices for different situations. Then we’ll look at how, and if, an entity can change its selection and become a different entity. We’ll compare the different entities in dissolution, and consider the tax effects of each. Finally, we’ll identify which changes can be made by each entity, summarized in a simple chart.
Learning Objectives
1) Describe the characteristics, taxation, advantages, and disadvantages of the different business entities.
2) Learn and be able to apply the factors involved in guiding a client when selecting an entity.
3) Recognize that changing to a different entity may have tax consequences and guide clients accordingly.
